Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. 1. Description of Service

salesroleplay.app provides an AI-powered, interactive video platform designed to help users practice and improve their conversational and professional skills through simulated role-playing scenarios. The Service uses artificial intelligence to act as a conversation partner, providing feedback and analysis on user performance.

2. User Accounts

To access the Service, you must create an account ("Account"). You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party and must notify us immediately upon becoming aware of any breach of security or unauthorized use of your Account.

3. User-Generated Content and Consent to Recording

Ownership: You retain ownership of all intellectual property rights in the video recordings, audio, and other data you create and upload while using the Service ("User Content").

License to Us: By using the Service, you grant Roleplay Video Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, display, and process your User Content solely for the purposes of operating, providing, and improving the Service.

Consent to Recording: The Service involves video and audio recording of your role-playing sessions. By using the Service, you explicitly consent to be recorded. You are responsible for obtaining any necessary consents from any other individuals who may be recorded.

AI Improvement: We may use anonymized and aggregated data derived from your User Content to analyze and improve our AI models and the overall Service. This data will not be personally identifiable.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law.
• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.
• Reverse engineer, decompile, or disassemble any aspect of the Service.

5. Fees and Payment

Access to certain features of the Service may require payment of subscription fees. All fees are quoted in U.S. Dollars.

Billing: You will be billed in advance on a recurring, periodic basis ("Billing Cycle"). Billing cycles are typically set on a monthly or annual basis.

Automatic Renewal: Your subscription will automatically renew at the end of each Billing Cycle unless you cancel it through your account management page or by contacting our support team.

Refunds: Paid subscription fees are non-refundable, except as required by law or at our sole discretion.

Fee Changes: We reserve the right to change our subscription fees at any time. We will provide you with reasonable prior notice of any change in subscription fees to give you an opportunity to terminate your subscription before such change becomes effective.

6. Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content), including its software, text, graphics, logos, and features, are and will remain the exclusive property of Roleplay Video Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

7. Termination

We may terminate or suspend your Account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

If you wish to terminate your Account, you may simply discontinue using the Service or contact us to request account deletion. Upon termination, your right to use the Service will immediately cease. We may retain your User Content for a commercially reasonable period (typically 30 days) for backup, archival, or audit purposes before permanent deletion.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. ROLEPLAY VIDEO INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE AI-GENERATED RESPONSES WILL BE ACCURATE, RELIABLE, OR APPROPRIATE. YOU ACKNOWLEDGE THAT THE AI IS A SIMULATION AND MAY PRODUCE UNEXPECTED OR ERRONEOUS OUTPUT.

9. Limitation of Liability

IN NO EVENT SHALL ROLEPLAY VIDEO INC., NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR OTHER INTANGIBLES, ARISING OUT OF YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Roleplay Video Inc. and its licensee and licensors, and their employees, directors, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) User Content you post on the Service.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York located in the County of Kings (Brooklyn).

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 15 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

13. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Roleplay Video Inc. regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
